Baker Seller Terms - Some Bakers

By registering as a Baker, creating a bakery profile, publishing listings, accepting orders, or otherwise using SOME BAKERS as a seller, you agree to be bound by these Terms.

1. Role of the Platform

SOME BAKERS is operated by SOME AUDACITY Pte. Ltd. as a technology, discovery, communication, and marketplace intermediary.
You act in your own name and on your own behalf as an independent seller.
Nothing in these Terms creates an employment, agency, partnership, franchise, or joint venture relationship between you and SOME BAKERS.
SOME BAKERS does not inspect, certify, approve, supervise, test, or guarantee your kitchen, products, ingredients, storage conditions, food safety, legal compliance, or product suitability.
Any onboarding check, profile review, badge, trust signal, or platform standard used by SOME BAKERS is for internal platform and community purposes only and does not amount to inspection, certification, or approval of you or your products.

2. Eligibility and Onboarding

To register as a Baker, you must:

be at least 18 years old;
complete the required onboarding process;
provide accurate identity, contact, and operating information;
provide any additional information reasonably requested for platform safety, payout setup, or compliance; and
receive approval from SOME BAKERS before listing products.

SOME BAKERS may approve, reject, suspend, or remove a Baker account at its sole discretion.

3. Your Compliance Obligations

You are solely responsible for complying with all laws, rules, regulations, notices, codes, and guidelines applicable to your activities as a Baker, including without limitation:

food safety and hygiene obligations;
consumer protection obligations;
advertising and claims rules;
tax obligations;
data protection obligations; and
home-based business rules that apply to your residence or operating location.

Without limiting the above, you must not:

provide food catering services from your home operation where such activity is not permitted;
sell or supply home-prepared food to any party where such supply is prohibited by law or regulation;
sell products prepared in breach of HDB, URA, landlord, building, or occupancy rules;
continue selling any product you know or suspect may be unsafe, contaminated, spoiled, misdescribed, or non-compliant.

4. Products You May List

You may list only homemade baked goods and closely related products that are permitted by SOME BAKERS and lawful to sell.
All products must be genuinely prepared by you or under your direct control.

You must not list or sell:

products not made by you;
wholesale, commercial, or third-party products resold as your own;
prohibited, unsafe, adulterated, spoiled, or contaminated products;
products with false, misleading, unsubstantiated, health, medicinal, or therapeutic claims;
products that require handling or controls you cannot lawfully or safely provide; or
any product category restricted or prohibited by SOME BAKERS from time to time.

SOME BAKERS may remove, reject, or restrict any listing or product category at any time for legal, safety, quality, reputational, operational, or policy reasons.

5. Listings, Descriptions & Photos

You must ensure that all listings are accurate, current, complete, and not misleading, including:

product name and description;
ingredients and allergen information;
pricing, quantity, size, or weight where relevant;
lead time, availability window, and collection or delivery terms;
freshness or best-consumed guidance where relevant; and
photos and product representations — photos must fairly represent your actual products.

Stock photos, misleading edited photos, and images of products you did not make must not be used to represent your listings.

6. Ingredients, Allergens & Cross-Contact

You must provide an accurate and sufficiently complete ingredient list for each product, including fillings, toppings, decorations, and relevant sub-components where material to customer understanding or safety.
You must clearly disclose any known allergen or ingredient known to cause hypersensitivity that is present in the product, and any material cross-contact risk arising from shared kitchen equipment, surfaces, utensils, storage, or preparation environments.
Where products are prepared in a kitchen that also handles allergens or other ingredients known to cause hypersensitivity, you must clearly say so.
You bear sole responsibility for the accuracy and completeness of all ingredient, allergen, dietary, and cross-contact information provided on the platform.
SOME BAKERS does not verify or certify your food disclosures.

7. Orders, Fulfilment & Customer Care

You are solely responsible for:

accepting or declining orders within a reasonable time;
preparing products in accordance with the listing;
fulfilling confirmed orders properly and on time;
communicating clearly with customers where needed;
providing accurate collection or delivery details;
handling your products safely until handover; and
responding appropriately to customer complaints relating to your orders.

Repeated cancellations, ghosting, late fulfilment, inaccurate listings, or customer complaints may result in warnings, listing restrictions, payout holds, or account suspension.

8. Collection, Delivery & Safety

Unless expressly stated otherwise, you are responsible for arranging and managing any collection or delivery option that you offer.
If you offer self-collection, you must only share the exact collection details when reasonably necessary for fulfilment, after an order is confirmed.
If you offer self-delivery or use a third-party courier, you remain responsible for product handling, packaging, timing, and food condition up to handover.

9. Payments, Payouts, Holds & Recovery

The platform may support one or more payment models, including direct payment to you or platform-enabled payment processing through a third-party payment service provider.

Where platform-enabled payments are used:

you may be required to complete identity verification, fraud checks, tax checks, and other compliance steps;
payout timing may vary based on processor timelines, weekends, holidays, reviews, reserves, disputes, or restrictions; and
SOME BAKERS may hold, delay, reserve, deduct, offset, or recover amounts otherwise payable to you where reasonably necessary in connection with chargebacks, refunds, customer complaints, food safety concerns, fraud, failed fulfilment, legal compliance, or breach of these Terms.

If a customer payment is reversed, refunded, charged back, or otherwise clawed back in connection with one of your orders, you remain economically responsible for that order and authorise SOME BAKERS to recover the relevant amount from your current or future payouts or otherwise seek repayment.

SOME BAKERS is not liable for any payout delay, restriction, reversal, or withholding caused by a payment provider, failed verification, inaccurate payout details, legal restrictions, fraud review, or compliance issues.

10. Refunds and Platform Remedies

Customers may raise complaints in relation to your orders. You must cooperate promptly and in good faith with any reasonable information request made by SOME BAKERS in connection with a complaint or dispute.
SOME BAKERS may, but is not obliged to, facilitate communication, request evidence, propose outcomes, temporarily hold funds, or take other reasonable platform actions in connection with a complaint or dispute.
Where SOME BAKERS reasonably determines that an order involves non-fulfilment, material misdescription, product safety risk, fraud, duplicate payment, or another significant fairness or safety issue, SOME BAKERS may facilitate or direct a full or partial refund, replacement, order cancellation, credit, or other reasonable remedy.
Any such amount may be deducted from your current or future payouts or otherwise recovered from you.

11. Food Safety Incidents & Recall Cooperation

You must immediately notify SOME BAKERS if you become aware of:

any complaint alleging illness, allergic reaction, contamination, spoilage, foreign matter, or unsafe food;
any incorrect or incomplete allergen or ingredient disclosure;
any regulator enquiry, warning, advisory, stop order, or recall relating to you or your products; or
any circumstance that may reasonably affect customer safety or the integrity of the platform.

If a product may be unsafe, misdescribed, or otherwise requires customer notification or corrective action, you must immediately stop selling the affected product and cooperate fully with SOME BAKERS in relation to customer communication, refunds, withdrawal, recall, evidence preservation, and regulatory cooperation.

12. Trust Signals & Profile Claims

You must not describe yourself, your kitchen, your products, or any platform badge as licensed, certified, inspected, approved, guaranteed, or verified by SOME BAKERS unless such status has been expressly granted in writing and your wording is exactly consistent with the scope of that status.

You must not misuse trust labels or imply a level of review, testing, or approval that does not exist.

13. Off-Platform Circumvention

You must not use the platform to identify, solicit, divert, or transact with a customer introduced through SOME BAKERS for the purpose of avoiding platform rules, fees, records, payment controls, or dispute handling processes, unless SOME BAKERS expressly permits this in writing.

Breach of this clause may result in suspension, removal, payout holds, fee recovery, or other enforcement action.

14. Content and Intellectual Property

You retain ownership of content you lawfully create and upload to the platform, including your photographs, branding, descriptions, and profile materials.

By uploading content, you grant SOME BAKERS a non-exclusive, royalty-free, worldwide licence to host, display, reproduce, format, distribute, and use that content for:

operating and improving the platform;
displaying your profile and listings;
promoting SOME BAKERS and participating Bakers; and
editorial, partnership, community, and investor materials.

For the avoidance of doubt, nothing in these Terms transfers ownership of your underlying recipes, methods, formulas, trade secrets, or know-how, unless separately submitted for publication or separately licensed in writing.

15. Suspension, Restriction & Removal

SOME BAKERS may suspend, restrict, remove, or refuse access to your account, listings, payment functionality, visibility, badges, or other platform features where it reasonably believes such action is necessary for legal compliance, food safety, fraud prevention, dispute handling, platform integrity, reputational protection, or operational reasons.

Grounds may include:

breach of these Terms;
inaccurate ingredient, allergen, or product information;
prohibited or unsafe products;
repeated cancellations or fulfilment failures;
suspicious activity or fraud;
non-cooperation with safety, dispute, or verification requests; or
conduct exposing SOME BAKERS or its users to legal, safety, financial, or reputational risk.

In urgent cases, including food safety incidents, suspected contamination, undeclared allergen risk, fraud, or regulator contact, SOME BAKERS may act immediately without prior notice.

16. Limitation of Liability

To the fullest extent permitted by law, SOME BAKERS provides the platform on an "as is" and "as available" basis.

To the fullest extent permitted by law, SOME BAKERS shall not be liable for:

customer conduct;
third-party payment service provider decisions;
courier or delivery failures;
customer misuse, storage, or handling after handover;
indirect, incidental, special, or consequential losses; or
downtime, technical failures, or service interruptions not caused by our wilful misconduct.

Where SOME BAKERS is found liable to you in connection with the platform or these Terms, our total aggregate liability shall not exceed SGD 250.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.

17. Baker Indemnity

You shall indemnify, defend, and hold harmless SOME AUDACITY Pte. Ltd. and its directors, officers, employees, contractors, and agents from and against all claims, actions, demands, losses, liabilities, penalties, costs, damages, and expenses, including reasonable legal fees, arising out of or in connection with:

your products or listings;
inaccurate ingredient, allergen, safety, labelling, dietary, or fulfilment information;
any food safety incident, contamination, recall, illness, injury, or customer complaint relating to your products;
your breach of these Terms;
your breach of law or regulator requirement;
your fraud, negligence, misconduct, misrepresentation, or platform circumvention; or
any claim that content uploaded by you infringes third-party rights.

This clause survives suspension, removal, and termination.

18. Privacy and Customer Data

You must use any customer information received through SOME BAKERS only for order fulfilment, customer service, complaint handling, and other lawful purposes directly connected to the order.
You must not reuse customer information for unrelated marketing, resale, profiling, or off-platform solicitation without lawful basis and any consent required by law.

19. Changes to These Terms

SOME BAKERS may update these Baker Seller Terms from time to time. Continued use of the platform as a Baker after updated Terms take effect constitutes acceptance of the updated Terms.

20. Governing Law

These Terms are governed by the laws of the Republic of Singapore.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
